1. Right to Software Use.

You may download, install and use this copyrighted Software for your personal and non-commercial use. Leader Technologies, Inc. ("Leader"), the developer of this software, grants to you a nonexclusive, limited, non-perpetual license. The Software may be distributed but only under the terms of this Privacy and Use Policy or a subsequent version thereof. A copy of this Privacy and Use Policy must be included with each and every distribution. Leader may change, update, modify the Software or terminate your use of the Software or terminate the program at any time. Leader may access your computer to perform maintenance on the Software and to install updates. These updates are also governed by this Agreement. When you use the Software for an authorized purpose, you should include all proprietary notices without changing or concealing them. As a condition of your use of the Software, you promise that you will not use the Software for any purpose that is unlawful or prohibited by these terms and conditions.

Title and intellectual property rights in and to any content displayed by or accessed through the the Software belongs to the respective content owner. Such content may be protected by copyright or other intellectual property laws and treaties, and may be subject to terms of use of the third party providing such content. This License does not grant you any rights to use such content.

2. Restrictions.

You may not publish, display, disclose, rent, lease, modify, loan, or create derivative works based on the Software or any part thereof. You may not reverse engineer, decompile, translate, adapt, or disassemble the Software, nor shall you attempt to create the source code from the object code for the Software.

3. Privacy.

Leader is concerned about your right to privacy. You can be assured that any information you provide to Leader or the manufacturer company through which you received the Software, or any information collected under this Software, will be handled carefully. Leader will never sell or rent your information to any third party or share information except under legal subpoena. Notwithstanding the foregoing, data that you voluntarily provide through this Software, either to Leader or the manufacturer company through which you received the Software, may be used by Leader, the manufacturer, or their respective agents, successors and assigns for any purpose each respective holding party, in its absolute and sole discretion, shall deem appropriate, including but not limited to, marketing, research, and technical and product support.

4. Anti-virus Protection.

You agree that it is your responsibility to install anti-virus software and related protections against viruses, Trojan horses, worms, time bombs and other routines that could damage, disrupt or destroy your computer's functionality should such be inadvertently transferred to your computer by using the Software.

5. Policy Changes.

Leader reserves the right to modify its Privacy and Use Policy at any time. In the event that Leader makes a material change to the Policy set forth herein, Leader will notify you of the change.

7. Copyright.

All rights not granted to you herein are expressly reserved by Leader. You may not modify, reproduce, republish, post, transmit, distribute or use the Software, except as provided in this Privacy and Use Policy.

8. Trademarks.

Leader either owns or has the right to use any trademarks or intellectual property appearing in connection with the use of this Software.

9. Disclaimer of Warranties and Limitation of Liability.

You agree to assume the entire risk of using this Software. Leader provides the Software "AS IS" without any warranty of any kind. Leader makes no warranty as to the content, accuracy, suitability, timeliness or completeness of any information that is provided to you through the Software, nor that the service will be uninterrupted or error free.

LEADER WILL HAVE NO LIABILITY FOR DAMAGE TO YOUR COMPUTER, OR ANY THIRD PARTY, OR TO ANY DATA OR OTHER SOFTWARE ON YOUR OR A THIRD PARTY'S COMPUTER RESULTING FROM THE USE OF THIS SOFTWARE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEADER DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF THE INFORMATION PROVIDED AND NON-INFRINGEMENT. IN NO EVENT SHALL LEADER OR ITS OFFICERS, EMPLOYEES AND DIRECTORS BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, DIRECT, SPECIAL, PUNITIVE OR OTHER DAMAGES WHATSOEVER RESULTING FROM THE DAMAGES, LOSS OF USE, DATA OR PROFITS, ARISING FROM THE USE OF THE SOFTWARE, WHETHER IN CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, WHETHER OR NOT LEADER HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR SOME TYPES OF DAMAGES. IN THIS CASE THE DAMAGES WILL NOT EXCEED THE AMOUNT (IF ANY) PAID FOR THE SOFTWARE.

The Software may automatically reference and link to sites and information located worldwide throughout the Internet. Because Leader, or the manufacturer company through which you received the Software, have no control over such sites and information, Leader makes no representations or warranties as to such sites and information, including, but limited to: (a) the accuracy, currency, content, or quality of any such sites and information, or (b) whether a link completed through the Software may locate unintended or objectionable content. Because some of the content on the Internet consists of material that is adult-oriented or otherwise objectionable to some people or viewers under the age of 18, the results of any link to a particular URL using the Software may automatically and unintentionally generate links or references to objectionable material. By using the Software, you acknowledge that Leader makes no representations or warranties with regard to the appropriateness of the content viewed through the Software, whether on a pre-installed channel button or as a result of a link. Leader does not guarantee the sequence, accuracy, completeness or timeliness of the content displayed by or accessed through the Software. Leader, its officers, affiliates and subsidiaries shall not, directly or indirectly, be liable, in any way, to you or any other person for the content you receive using the Software or for any inaccuracies, errors in or omissions from the content.

10. Uninstall.

You may uninstall the Software and terminate this Agreement at any time.

11. Miscellaneous.

This "Privacy and Use Policy" is the complete and exclusive agreement between the parties with respect to the use of the Software. Any waiver or modification of this Agreement shall only be effective it if is in writing and signed by Leader. If any part of this Agreement is found invalid or unenforceable by a court of competent jurisdiction, the remainder of this Agreement shall be interpreted so as to reasonably effect the intention set forth herein.

This Agreement shall be governed by the laws of the State of California without regard to the conflicts of laws provisions and you consent to the exclusive jurisdiction of the state and federal courts sitting in Orange County, State of California.
